Terms of Service

1. Acceptance of Terms
By creating an account on Communly (communly.io), operated by Iterum, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform. These terms apply to all users, including organization founders, administrators, and members.
2. User Accounts
You must provide a valid email address to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms.
3. Organization Membership
Communly enables cooperative group-buying through organizations (co-ops). Organization founders and administrators set their own membership rules. By joining an organization, you agree to abide by that organization's governance rules. Communly is not a party to disputes between organization members and does not guarantee the actions or decisions of any organization.
4. Group Buy Participation
When you commit to a group buy, you are making a binding commitment to purchase the specified goods at the agreed price. Group buy terms, including minimum quantities, pricing, and delivery timelines, are set by organization administrators and participating vendors. Communly facilitates the coordination but is not the seller or buyer in any transaction.
5. Payment Terms
Payments are processed through Stripe, a third-party payment processor. By making a payment, you agree to Stripe's terms of service. All prices are displayed in the currency specified by the organization. Refund policies are determined by each organization and its vendors. Communly does not hold or manage funds directly.
6. Acceptable Use
You agree not to use Communly to engage in any unlawful activity, harass or harm other users, distribute spam or malicious content, attempt to gain unauthorized access to other accounts or systems, or misrepresent your identity or affiliation. We reserve the right to remove content and suspend accounts that violate this policy.
7. Data Ownership
Organization data (member lists, group buy records, governance decisions) belongs to the organization and its members. Communly provides the platform to manage this data but does not claim ownership of it. Users retain ownership of any personal content they contribute. Communly has a license to host and display this content solely for the purpose of providing the service.
8. Limitation of Liability
Communly is provided "as is" without warranties of any kind, express or implied. Iterum shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability for any claim shall not exceed the amount you have paid to use the service in the twelve months preceding the claim. This does not exclude liability for fraud or willful misconduct.
9. Dispute Resolution
Disputes between users should first be resolved within the organization using Communly's built-in governance tools (proposals, voting). If a dispute cannot be resolved through the platform, parties agree to attempt good-faith mediation before pursuing legal action. These terms are governed by the laws of the jurisdiction in which Iterum operates.
10. Termination
You may delete your account at any time by contacting support. Upon termination, your personal data will be deleted in accordance with our Privacy Policy. Organization data you contributed may be retained by the organization. We may terminate or suspend your account for violation of these terms, with notice where practicable.
11. Open Source License
The Communly platform source code is licensed under the GNU Affero General Public License v3.0 (AGPL-3.0). This means you are free to view, modify, and distribute the source code under the terms of the AGPL-3.0 license. This license does not apply to your personal data or organization data, which remain subject to these Terms and our Privacy Policy.
12. Changes to These Terms
We may update these terms from time to time. When we make material changes, we will notify you by email or through a notice on the platform. Your continued use of Communly after changes become effective constitutes acceptance of the updated terms.
